يُرجى قراءة هذه الشروط والأحكام بعناية قبل البدء في استخدام خدمات ومنصة أعين للحلول الهندسية. يُعدّ استخدامك للخدمة أو تسجيلك فيها قبولاً صريحاً لجميع الشروط الواردة في هذه الوثيقة. إن كنت لا توافق على أي من هذه الشروط، فلا يحق لك استخدام الخدمة ويجب عليك التوقف عن ذلك فوراً.

Please read these Terms and Conditions carefully before using the Ayun Engineering Solutions platform and services. Your use of or registration for the Service constitutes your express acceptance of all terms set out in this document. If you do not agree to any of these terms, you are not permitted to use the Service and must cease doing so immediately.

1التعريفات والأحكام العامةDefinitions & General Provisions

تحمل المصطلحات التالية المعاني المحددة أدناه في جميع أنحاء هذه الوثيقة:

The following terms carry the meanings defined below throughout this document:

1. أعين / الشركة: شركة أعين للحلول الهندسية المحدودة، المسجلة في جمهورية السودان، وهي الجهة المشغّلة لمنصة التتبع وخدمات إدارة الأساطيل.Ayun / the Company: Ayun Engineering Solutions Limited, registered in the Republic of Sudan, the operator of the vehicle tracking platform and fleet management services.
2. الخدمة: منصة أعين الإلكترونية لتتبع المركبات وإدارة الأساطيل، بما تشمله من تطبيق الهاتف المحمول، لوحة التحكم الإلكترونية، أجهزة التتبع، وشرائح البيانات.Service: The Ayun electronic vehicle tracking and fleet management platform, including the mobile application, web dashboard, tracking devices, and data SIM cards.
3. المستخدم / أنت: أي شخص طبيعي أو اعتباري يسجّل حساباً أو يستخدم خدمات أعين بأي صورة كانت.User / You: Any natural or legal person who registers an account or uses Ayun's services in any capacity.
4. الاشتراك: الخطة المدفوعة التي تمنح المستخدم حق الوصول إلى الخدمة خلال مدة محددة وفق الفاتورة الصادرة.Subscription: The paid plan granting the User access to the Service for a defined period as specified in the issued invoice.
5. بيانات المستخدم: جميع البيانات والمعلومات التي يُدخلها المستخدم أو تُولَّد عبر استخدامه للخدمة، بما في ذلك بيانات تتبع المركبات وبيانات السائقين.User Data: All data and information entered by or generated through the User's use of the Service, including vehicle tracking data and driver data.
6. الجهاز: أي معدة أو أداة تقنية تُستخدم للوصول إلى الخدمة، كالحاسوب أو الهاتف الذكي أو أجهزة التتبع المثبّتة في المركبات.Device: Any equipment or technology used to access the Service, including computers, smartphones, and tracking units installed in vehicles.
7. الاتفاقية: هذه الوثيقة بكل تعديلاتها وملاحقها الحالية والمستقبلية.Agreement: This document together with all its current and future amendments and annexes.

2قبول الشروطAcceptance of Terms

باستخدامك لخدمات أعين أو تسجيلك على المنصة، فإنك تُقرّ وتوافق على ما يلي:

By using Ayun's services or registering on the platform, you acknowledge and agree to the following:

1. اطّلعت على هذه الاتفاقية بالكامل وفهمت مضمونها قبل البدء في استخدام الخدمة.You have read and understood this Agreement in its entirety before using the Service.
2. تقبل جميع الشروط والأحكام الواردة فيها بدون استثناء أو تحفّظ.You accept all terms and conditions set out herein without exception or reservation.
3. تمتلك الأهلية القانونية الكاملة لإبرام هذه الاتفاقية، وإن كنت تمثّل شركة أو مؤسسة فأنت تضمن أن لديك التفويض اللازم للالتزام بها نيابةً عنها.You have full legal capacity to enter into this Agreement; if acting on behalf of a company or institution, you warrant that you are duly authorised to bind it to these terms.
4. أنت لا تقل عن ١٨ عاماً من العمر. لا تُتيح أعين خدماتها لمن هم دون هذا السن.You are at least 18 years of age. Ayun does not permit those under 18 to use the Service.

3وصف الخدماتDescription of Services

تقدّم أعين منظومة متكاملة لتتبع المركبات وإدارة الأساطيل، تشمل على سبيل المثال لا الحصر:

Ayun provides a comprehensive vehicle tracking and fleet management suite, including but not limited to:

• تتبع المركبات في الوقت الفعلي عبر شبكات GPS والأقمار الصناعية (Iridium) للمناطق النائية.Real-time vehicle tracking via GPS networks and Iridium satellite for remote areas.
• لوحات تحكم تحليلية لمراقبة أداء الأسطول واستهلاك الوقود ومسارات الرحلات.Analytical dashboards for fleet performance monitoring, fuel consumption, and trip history.
• إدارة السائقين والتنبيهات الآنية عند الأحداث الحرجة.Driver management and real-time alerts for critical events.
• تطبيق جوّال للوصول إلى الخدمة من أي مكان وفي أي وقت.A mobile application for service access anywhere, at any time.
• تقارير دورية تُرسل عبر البريد الإلكتروني مع إمكانية تخصيصها وفق احتياجات المستخدم.Periodic email reports, configurable according to user requirements.
• دعم فني عن بُعد وميداني وفق مستويات الخدمة المتفق عليها.Remote and field technical support in accordance with agreed service levels.

تحتفظ أعين بالحق في تعديل نطاق الخدمات أو تطويرها في أي وقت مع إخطار المستخدمين بأي تغييرات جوهرية.

Ayun reserves the right to modify or develop the scope of its services at any time, with notice to users of any material changes.

4التسجيل وأمان الحسابRegistration & Account Security

يُتاح الوصول إلى الخدمة فقط عقب إتمام عملية التسجيل وتوفير بيانات دقيقة وحديثة. يتعهد المستخدم بما يلي:

Access to the Service is available only following completion of registration and provision of accurate and current information. The User undertakes to:

1. تقديم معلومات صحيحة وكاملة عند التسجيل والحرص على تحديثها دورياً.Provide accurate and complete information at registration and keep it regularly updated.
2. المحافظة على سرية بيانات الدخول وعدم مشاركتها مع أي طرف ثالث غير مصرّح له.Maintain the confidentiality of login credentials and not share them with any unauthorised third party.
3. تحمّل المسؤولية الكاملة عن جميع الأنشطة التي تجري عبر حسابه، وإخطار أعين فوراً عند الاشتباه في أي وصول غير مصرّح به.Bear full responsibility for all activities conducted through his account and immediately notify Ayun upon suspecting any unauthorised access.
4. عدم السماح لأي طرف ثالث باستخدام حسابه إلا في حدود ما تسمح به هذه الاتفاقية.Not permit any third party to use his account except within the limits permitted by this Agreement.

تحتفظ أعين بالحق في تعليق أي حساب أو تعطيله في حال الاشتباه في نشاط غير مصرّح به أو انتهاك لهذه الاتفاقية.

Ayun reserves the right to suspend or deactivate any account in the event of suspected unauthorised activity or breach of this Agreement.

5الاشتراك والدفعSubscription & Payment

1. تُقدَّم خدمات أعين على أساس الاشتراك المدفوع وفق الخطط والأسعار المحددة في الفاتورة الصادرة للمستخدم.Ayun's services are provided on a paid subscription basis according to the plans and prices specified in the invoice issued to the User.
2. يبدأ تقديم الخدمة عقب سداد المبالغ المستحقة المتفق عليها، ويتوقف تلقائياً عند انتهاء فترة الاشتراك دون تجديد.Service commences upon payment of agreed amounts and automatically ceases upon expiry of the subscription period without renewal.
3. يُعتمد في التسعير ما ورد في الفاتورة المعتمدة. وفي حال الدفع بالجنيه السوداني، يُطبَّق سعر صرف السوق الموازي السائد في يوم السداد.Pricing is as specified in the approved invoice. Where payment is made in Sudanese Pounds, the parallel market exchange rate prevailing on the date of payment shall apply.
4. في حال طُلبت فاتورة ضريبية، يتحمّل المستخدم قيمة الضريبة المضافة المطبّقة وفق الأنظمة النافذة.Where a tax invoice is requested, the User bears the applicable value-added tax in accordance with prevailing regulations.
5. يحق لأعين تعليق الخدمة بعد إصدار ثلاثة إنذارات متتالية بشأن التأخر في السداد.Ayun reserves the right to suspend the Service after issuing three consecutive warnings regarding overdue payments.

6الاستخدام المقبولAcceptable Use

يوافق المستخدم على استخدام الخدمة حصراً للأغراض المشروعة وضمن النطاق المصرّح به. ويُحظر على المستخدم تحديداً:

The User agrees to use the Service exclusively for lawful purposes and within the authorised scope. The User is expressly prohibited from:

• استخدام الخدمة لأغراض غير مشروعة أو بما يتعارض مع القوانين السودانية النافذة.Using the Service for unlawful purposes or in violation of applicable Sudanese law.
• محاولة اختراق المنصة أو تعطيلها أو الوصول غير المصرّح به إلى بيانات مستخدمين آخرين.Attempting to breach, disrupt, or gain unauthorised access to the platform or other users' data.
• إعادة بيع الخدمة أو توزيعها على أطراف ثالثة دون إذن كتابي مسبق من أعين.Reselling or distributing the Service to third parties without prior written consent from Ayun.
• العبث بأجهزة التتبع أو توصيلاتها أو محاولة فك تشفيرها أو تعديلها.Tampering with tracking devices or their connections or attempting to decrypt or modify them.
• استخدام الخدمة لمراقبة أشخاص دون علمهم أو موافقتهم بما يخالف القانون.Using the Service to monitor individuals without their knowledge or consent in violation of the law.
• نشر أي محتوى مضلّل أو غير قانوني أو ضار عبر المنصة.Publishing any misleading, unlawful, or harmful content through the platform.
• أي فعل من شأنه الإضرار بسمعة أعين أو بسلامة منصتها التقنية.Any action likely to damage Ayun's reputation or the integrity of its technical platform.

7الملكية الفكريةIntellectual Property

1. تمتلك أعين الحقوق الكاملة والحصرية للملكية الفكرية على المنصة وجميع مكوناتها، بما تشمل البرمجيات والخوارزميات والواجهات وقواعد البيانات والعلامات التجارية والشعارات وأي تحديثات مستقبلية.Ayun holds full and exclusive intellectual property rights over the platform and all its components, including software, algorithms, interfaces, databases, trademarks, logos, and any future updates.
2. لا تمنح هذه الاتفاقية المستخدمَ أي حقوق ملكية فكرية، وإنما ترخيصاً محدوداً وغير حصري وغير قابل للتحويل لاستخدام الخدمة خلال فترة الاشتراك النشط فحسب.This Agreement grants the User no intellectual property rights, but only a limited, non-exclusive, non-transferable licence to use the Service during the active subscription period only.
3. يُقرّ المستخدم بأن ملكية أجهزة التتبع وشرائح البيانات المقدَّمة ضمن الخدمة تظل ملكية حصرية لأعين في جميع الأوقات.The User acknowledges that ownership of the tracking devices and data SIM cards provided as part of the Service remains the exclusive property of Ayun at all times.
4. يُحظر على المستخدم نسخ البرمجيات أو تفكيكها أو إعادة هندستها أو تعديلها أو توزيعها بأي شكل كان.The User is prohibited from copying, disassembling, reverse-engineering, modifying, or distributing the software in any form.

8الخصوصية وحماية البياناتPrivacy & Data Protection

1. تلتزم أعين بحماية بيانات المستخدمين الشخصية وفق سياسة الخصوصية المعتمدة والمتاحة على الموقع الرسمي.Ayun is committed to protecting users' personal data in accordance with its adopted Privacy Policy, available on the official website.
2. تُحتفظ ببيانات التتبع المولَّدة عبر المنصة لمدة لا تقل عن ثلاثة أشهر. يتمكّن المستخدم من الاحتفاظ بها لأجل غير مسمى عبر التقارير الدورية المُرسلة بالبريد الإلكتروني.Tracking data generated through the platform is retained for no less than three months. Users may retain it indefinitely via periodic email reports.
3. لا تتشارك أعين بيانات المستخدمين الشخصية مع أطراف ثالثة إلا بموافقة المستخدم أو حين يقتضي ذلك القانون.Ayun does not share users' personal data with third parties except with the user's consent or as required by law.
4. يتحمّل المستخدم المسؤولية الكاملة عن الامتثال للقوانين المعمول بها فيما يخص جمع بيانات السائقين وموظفيه ومعالجتها عبر المنصة.The User bears full responsibility for compliance with applicable laws regarding the collection and processing of driver and employee data through the platform.

9إخلاء المسؤولية والضماناتDisclaimers & Warranties

بقبول هذه الاتفاقية، يُقرّ المستخدم ويوافق على ما يلي:

By accepting this Agreement, the User acknowledges and agrees to the following:

1. تُقدَّم الخدمة "كما هي" و"بحسب توافرها"، وتعمل أعين على ضمان استمراريتها واستقرارها دون أن تضمن خلوّها الكامل من أي انقطاع أو خطأ.The Service is provided "as is" and "as available"; Ayun endeavours to ensure its continuity and stability without guaranteeing it will be entirely free of interruption or error.
2. النظام هو أداة مساعدة للمراقبة والإدارة. لا تضمن أعين استعادة المركبات المسروقة، ولا تتحمل مسؤولية أي قرارات اتخذها المستخدم بناءً على بيانات المنصة.The system is an assistive monitoring and management tool. Ayun does not guarantee the recovery of stolen vehicles and bears no responsibility for any decisions made by the User based on platform data.
3. لا تتحمّل أعين المسؤولية عن أي تقطّع في الخدمة ناجم عن أجهزة التشويش أو الإشارات المزيفة أو ضعف تغطية الشبكات في المناطق النائية.Ayun bears no liability for service disruption caused by jamming devices, spoofed signals, or poor network coverage in remote areas.
4. تقع مسؤولية قرار تعطيل المركبة أو إيقاف محركها عن بُعد على المستخدم وحده.The decision to remotely immobilise a vehicle or cut its engine rests solely with the User.
5. لا تتحمّل أعين مسؤولية الأعطال التقنية الناجمة عن العبث بالأجهزة أو عن عطل كهربائي سابق في المركبة.Ayun bears no liability for technical faults caused by device tampering or pre-existing vehicle electrical faults.

10تحديد المسؤوليةLimitation of Liability

في أقصى الحدود التي يُجيزها القانون المعمول به:

To the fullest extent permitted by applicable law:

1. لا تتحمّل أعين في أي حال من الأحوال مسؤولية الأضرار غير المباشرة أو العرضية أو التبعية أو أوجه الخسارة في الأرباح أو البيانات الناجمة عن استخدام الخدمة أو عدم القدرة على استخدامها.Ayun shall in no event be liable for indirect, incidental, or consequential damages, or loss of profits or data, arising from use of or inability to use the Service.
2. تقتصر مسؤولية أعين في جميع الأحوال على الأضرار المادية المباشرة التي يُثبت أن فريقها تسبّب فيها أثناء التركيب أو الصيانة الميدانية.Ayun's liability is in all cases limited to direct physical damage demonstrably caused by its team during installation or field maintenance.
3. لا تتحمّل أعين أي مسؤولية عن أعطال أجهزة المستخدم الخاصة أو عن أي برامج طرف ثالث تتعارض مع المنصة.Ayun bears no liability for faults in the User's own devices or any third-party software conflicting with the platform.

11إنهاء الخدمةTermination

1. يحق لأعين تعليق الخدمة أو إنهاؤها فوراً دون إشعار مسبق في حال انتهاك المستخدم لأي من بنود هذه الاتفاقية.Ayun reserves the right to suspend or terminate the Service immediately and without prior notice in the event of any breach by the User of any provision of this Agreement.
2. ينتهي حق المستخدم في الوصول إلى الخدمة فور انقضاء فترة الاشتراك دون تجديد أو فور إصدار قرار الإنهاء.The User's right to access the Service ceases immediately upon expiry of the subscription period without renewal, or upon issuance of a termination decision.
3. لا يُلغي إنهاء الاتفاقية أي التزامات مالية أو قانونية مستحقة على المستخدم. وتبقى أحكام السرية والملكية الفكرية وتحديد المسؤولية سارية بعد الإنهاء.Termination does not extinguish any accrued financial or legal obligations of the User. Provisions on confidentiality, intellectual property, and limitation of liability survive termination.
4. في حال وقوع ظروف قاهرة خارجة عن إرادة أيٍّ من الطرفين، تُعلَّق الالتزامات المتأثرة مؤقتاً، ويتعاون الطرفان للتوصل إلى حلول بديلة لضمان استمرارية الخدمة.In the event of force majeure beyond the control of either party, the affected obligations are temporarily suspended, and both parties shall cooperate to reach alternative solutions to ensure service continuity.

12القانون الحاكم وحل النزاعاتGoverning Law & Dispute Resolution

1. تخضع هذه الاتفاقية وتُفسَّر وفق أحكام القانون السوداني النافذ.This Agreement is governed by and construed in accordance with the laws of the Republic of Sudan.
2. في حال نشوء أي نزاع، يسعى الطرفان في البداية إلى تسويته وديّاً خلال ثلاثين يوماً من تاريخ الإشعار الكتابي.In the event of any dispute, the parties shall first seek amicable resolution within thirty days from the date of written notice.
3. في حال تعذّر التسوية الودية، تختص المحاكم السودانية المختصة بالفصل في النزاع.Should amicable resolution prove impossible, the competent Sudanese courts shall have exclusive jurisdiction.
4. تُعدّ النسخة العربية من هذه الاتفاقية هي النص المرجعي الأصلي عند أي تعارض مع النسخ الأخرى.The Arabic version of this Agreement constitutes the original reference text in the event of any conflict with other language versions.

13التعديلات على الشروطChanges to These Terms

1. تحتفظ أعين بالحق في تعديل هذه الاتفاقية في أي وقت. تُعلَن التعديلات الجوهرية بإشعار مسبق لا يقل عن ثلاثين يوماً عبر البريد الإلكتروني المسجّل أو من خلال إشعار على المنصة.Ayun reserves the right to amend this Agreement at any time. Material changes shall be announced with at least thirty days' prior notice via registered email or a platform notification.
2. يُعدّ استمرار المستخدم في استخدام الخدمة بعد نفاذ التعديلات موافقةً ضمنية منه على الشروط المحدَّثة.Continued use of the Service after amendments take effect constitutes the User's implicit acceptance of the updated terms.
3. إذا رأى المستخدم عدم الموافقة على التعديلات، يحق له إنهاء الاشتراك قبل نفاذها بإشعار كتابي موجَّه إلى أعين.Should the User not accept the amendments, he is entitled to terminate the subscription before they take effect by written notice to Ayun.
4. إذا ثبت بطلان أي بند من بنود هذه الاتفاقية، تظل سائر البنود سارية المفعول دون تأثر. ولا يُفسَّر أي تقاعس من أيٍّ من الطرفين عن ممارسة حقوقه على أنه تنازل عنها.Should any provision of this Agreement be found invalid, the remaining provisions shall continue in full force and effect. No failure by either party to exercise any right hereunder shall be construed as a waiver thereof.
